Terms of Use

Effective August 2026.

These Terms of Use are a legal agreement between you (or the organization you represent, "you" or "Customer") and 2435316 Ontario Inc., operating as TrueMend ("TrueMend," "we," "us," or "our"), a corporation incorporated in Ontario, Canada. By creating an account, installing the CLI, or otherwise using TrueMend, you agree to these terms. If you are agreeing on behalf of an organization, you confirm you have authority to bind it.

1. The Service

TrueMend is a code quality engine that detects anti-patterns via AST analysis and fixes them through three tiers: deterministic transforms (applied automatically, free), cataloged refactors (constrained, client-LLM-assisted), and structural rewrites (evidence and options only, never auto-applied). It ships as a locally-run CLI and MCP server, plus this website for accounts, billing, license issuance, and license verification. How AI is and is not involved in any of this is governed separately by our Responsible AI Policy, which is incorporated into these terms by reference.

2. Eligibility and Accounts

You must be at least 18, or the age of majority where you live, to create an account. You are responsible for the accuracy of the information you provide and for safeguarding your account credentials; notify us promptly at hello@truemend.ai if you suspect unauthorized use. One account is intended per organization; team seats on the Teams tier are the supported way to add members, not shared logins.

3. Subscriptions, Billing, and Cancellation

Free tier access has no time limit and does not expire. Paid tiers (Pro, Max, Teams) are billed on a recurring monthly basis, in advance, per seat, through Stripe. By subscribing, you authorize us to charge your payment method each billing period until you cancel.

You may cancel at any time. Cancellation takes effect at the end of your current billing period; you keep access through that period, and we do not charge you again afterward. We do not offer refunds for partial billing periods, including if you cancel mid-cycle or use the Service only briefly within a period. We will give you at least 30 days' notice by email before any price increase takes effect for your subscription.

4. License Grant

Subject to these terms and your subscription tier, we grant you a limited, non-exclusive, non-transferable license to use TrueMend for your own or your organization's internal software development purposes. License keys are issued to your organization, are not for resale or sublicense, and remain tied to the account they were issued under. We may revoke a license key for non-payment, a confirmed material breach of these terms, or as described in our Security Policy's vulnerability-response process. Portions of TrueMend are open source; where an open-source license applies to specific code, that license governs your rights to that code, and nothing here narrows it.

5. Acceptable Use

You agree not to: circumvent, disable, or attempt to bypass license validation, seat limits, or other access controls except through the responsible-disclosure process in our Security Policy; resell, sublicense, or provide standalone third-party access to the Service without our written agreement; use the Service to build a directly competing product by systematically extracting our detection rules or catalog content; or use the Service for any unlawful purpose. We may suspend or terminate access for a violation of this section.

6. Your Code Stays Yours

You own your source code. We do not. Nothing in these terms transfers any ownership or license in your code to us merely because TrueMend analyzed it. TrueMend's core analysis and deterministic fixes run entirely on your own infrastructure; we never receive or store your source code through that path. The one exception is the optional --ci --batch flag, which you must explicitly enable: using it, you grant us a limited license solely to transmit the specific code fragments that flag processes to our third-party LLM provider, for the sole purpose of returning an analysis result to you, and for no other purpose. Full detail is in our Privacy Policy and Responsible AI Policy.

7. Our Intellectual Property

TrueMend, our anti-pattern catalog, our trademarks, and this website (excluding your own code and content) are owned by us or our licensors and protected by intellectual property law. These terms do not grant you any right to our trademarks or branding beyond what is needed to refer to the Service by name.

8. Third-Party Services

TrueMend integrates with third-party services, including Stripe for billing, Supabase for authentication and data storage, and, only if you opt in, Anthropic for the Batch API. Your use of those integrations is also subject to that provider's own terms. We are not responsible for the acts or omissions of independent third-party providers.

9. Disclaimers

The Service is provided "as is" and "as available," without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that TrueMend will detect every issue in your code, that it is free of false positives, or that applying a fix will never introduce a regression. We do describe, honestly, the safeguards that exist: every deterministic fix is independently re-verified by AST re-parse after being applied, and the original source is restored automatically if that verification fails; structural rewrites are never applied automatically. Those are real mitigations, not a substitute for your own review and testing.

10. Limitation of Liability

To the maximum extent permitted by law, TrueMend will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising out of these terms will not exceed the amount you paid us in the 12 months preceding the claim, or CAD $100 if you are on the Free tier. This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for our gross negligence or willful misconduct.

11. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your violation of these terms or your misuse of the Service, except to the extent caused by our own breach of these terms.

12. Termination

Either party may terminate at any time; you by canceling your subscription or deleting your account, we by suspending or terminating access for a material breach of Section 5 that you do not cure within a reasonable period after notice, or as required by law. On termination, your license to use paid-tier features ends, and we handle your data as described in our Privacy Policy. Sections 6, 7, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

We may update these terms from time to time. We will notify active account holders of material changes by email at least 30 days before they take effect; continuing to use the Service after that point means you accept the updated terms. The current version is always at truemend.ai/terms.

14. Governing Law and Dispute Resolution

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. Before filing any claim, the parties agree to attempt in good faith to resolve the dispute through direct negotiation for at least 30 days. Any dispute that cannot be resolved that way is subject to the exclusive jurisdiction of the courts of the Province of Ontario.

15. General

If any provision of these terms is found unenforceable, the remaining provisions stay in full effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. TrueMend uses cryptographic signing (RSA-2048) for license keys; you agree to comply with applicable export control and sanctions laws in your use of the Service, and confirm you are not located in, or a resident of, a country or region subject to a comprehensive Canadian or applicable export embargo. These terms, together with the Privacy Policy, Responsible AI Policy, and Security Policy they reference, are the entire agreement between us regarding the Service, and supersede any prior agreement on the same subject, other than a separate signed engagement agreement for consulting services, which governs its own scope where one exists.
